These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Hawl Technologies, LLC ("Company", "we", "us", or "our") regarding your use of the Memory Box Chrome extension, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms.

Memory Box is a Chrome browser extension that:

• Automatically captures and stores conversations from various AI/LLM platforms (ChatGPT, Claude, Gemini, Perplexity, Poe, Grok, DeepSeek, Qwen, Copilot, and others).
• Provides local and cloud storage for your conversation history.
• Offers search, organization, and export capabilities for your stored conversations.

4. Age Restrictions

The Service is not intended for individuals under the age of 13. If you are between 13 and 18, you may only use the Service with the explicit permission and supervision of a parent or legal guardian.

5. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use. We are not liable for any loss or damage arising from your failure to protect your account.

6. Data Collection and Third-Party Platforms

6.1 Automatic Data Collection

By installing and using Memory Box, you acknowledge and consent to the automatic collection and storage of your conversations from AI/LLM platforms.

6.2 User Responsibility and Third-Party Terms

YOU ACKNOWLEDGE AND AGREE THAT:

• YOU ARE SOLELY RESPONSIBLE for ensuring that your use of this Service complies with the Terms of Service of the AI/LLM platforms you use.
• WE DO NOT HAVE AGREEMENTS or consent from these platforms to scrape or collect data.
• YOU USE THIS SERVICE AT YOUR OWN RISK regarding potential violations of third-party platform Terms of Service.
• We are not responsible if your accounts on third-party platforms are suspended, banned, or restricted as a result of your use of this Service.

7. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose.
• Violate the intellectual property rights of others.
• Transmit any viruses or malicious code.
• Reverse engineer or disassemble the Service.
• Use the Service to violate the Terms of Service of any third-party platform.

8. Subscription Plans and Payments

8.1 Fees

All fees are non-refundable, except as required by applicable law.

• Free Plan: 200 memories.
• Premium Plan: $4.99/month, 900 memories.

8.2 Refunds

ALL SALES ARE FINAL. We do not offer refunds. Exceptions may be required by law in certain jurisdictions (e.g., EU consumer rights laws).

8.3 Cancellation

You may cancel at any time. Cancellation takes effect at the end of the current billing period.

9. Intellectual Property

You retain ownership of your conversation data. We retain ownership of the Service software, design, and trademarks. By using the Service, you grant us a license to store and process your data solely to provide the Service.

10. Data Location and Privacy

Data Location: All cloud data is hosted in the United States. By using the Service, you consent to the transfer and storage of your data in the US.

EU/UK Exclusion: The Service is not intended for users in the EU, EEA, or UK.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." We make no warranties regarding uptime, security, or compatibility with third-party platforms. We specifically disclaim any warranty that the Service will not violate the Terms of Service of third-party AI platforms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAWL TECHNOLOGIES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES arising from your use of the Service, including but not limited to data loss, account bans on third-party platforms, or legal disputes with AI providers.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hawl Technologies, LLC from any claims arising from:

• Your violation of these Terms.
• Your violation of third-party platform Terms of Service (e.g., scraping).
• Your submission of content to the Service.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions.

Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the Service constitutes acceptance of the changes.
